We are seeking a highly organised and experienced Assistant Company Secretary to deliver high-quality, timely and effective company secretariat services to the Trustees of Catholic Healthcare and Board Committees, lead ESG projects aligned with our strategy, and support the Company Secretary across statutory and corporate governance matters.
As a valued member of a small, highly skilled, and efficient team, you will demonstrate the capacity to work autonomously, applying strong judgement and emotional intelligence to effectively collaborate with a diverse range of internal and external stakeholders. Your exceptional communication and interpersonal abilities will be key assets in ensuring your success in this role.
Day To Day This Role Looks Like
* Act as Executive Officer to the Trustees and primary liaison with the Trustee Chair
* Own end-to-end Trustee meeting delivery - calendars, agendas, papers, conduct, minutes and actions
* Coordinating the AGM, member gatherings, Annual Review, AIS and other Trustee and committee related activities
* Lead the annual ESG Action Plan; coordinating cross-functional teams and external partners; facilitating ESG Working Group meetings; building awareness and training
* Provide Company Secretariat support to Board Committees; managing calendars and papers; attend meetings; draft and finalise minutes and action lists
* Support Executive Leadership Team members to prepare high-quality Board and Committee papers
* Maintain governance registers, update key docs on appointments, resignations and retirements
* Undertake lodgements to ASIC and ACNC and contribute to Secretariat projects
Your Ability To Prioritise And Work To Tight Deadlines Within a Fast-paced Environment While Having a High Attention To Detail, Will Be Essential, In Addition To
* Tertiary qualifications in Law or Business Administration (NSW legal practicing certificate beneficial)
* Graduate Diploma in Applied Corporate Governance
* Minimum 5 years' experience in a similar company secretariat/governance role
* Working knowledge of the Corporations Act 2001 and ACNC Standards
* Exceptional written and oral communication skills; ability to engage stakeholders at all levels
* Experience with Diligent board portal and preparing high-quality board papers and minutes
* Tech savvy with advanced level - Microsoft Office, Share Point and Teams
* ESG related experience and/ or genuine interest to learn - is highly desirable
* Willingness to travel to and work within Residential Aged Care home sites when required
* Willingness to obtain a Police Check
