This is an exciting opportunity to join Teachers Mutual Bank Limited as Assistant Company Secretary at a pivotal stage of our growth journey. Working directly with the Chief Legal Officer and Company Secretary, you\'ll play a critical role in ensuring TMBL\'s corporate governance, compliance, and board processes run seamlessly and effectively.
You will act as a trusted advisor and key liaison between Directors, Executives, regulators, and stakeholders, providing governance expertise and company secretarial support across the Bank. This role is perfect for someone who thrives in a dynamic environment, is passionate about governance, and wants to make a meaningful impact in the financial services sector.
Responsibilities
* Deliver end-to-end Board and Committee governance including agendas, papers, minutes, and secure distribution.
* Serve as Secretary to Bank entities ensuring compliance with the Corporations Act, APRA, and ASIC obligations.
* Act as the governance point of contact for Directors, Executives, regulators, and stakeholders.
* Provide governance and administrative support for Directors and Executives, including induction, travel, and professional development.
* Manage statutory filings and regulatory lodgements with ASIC and APRA, including FAR updates.
* Oversee the Annual General Meeting and Director election/ballot processes.
* Provide governance advice, insights, and updates on regulatory changes.
* Lead policy governance, records management, and governance risk monitoring.
* Drive governance projects, continuous improvement, and system/process enhancements.
* Model TMBL\'s values of passion, excellence, growth, and sustainability.
About you
You are a governance professional with strong technical knowledge and the confidence to advise senior stakeholders. You enjoy balancing strategic input with hands-on delivery and take pride in accuracy, integrity, and building trusted relationships. With high emotional intelligence and commercial acumen, you\'re motivated to deliver strong governance outcomes in a fast-paced, member-focused organisation.
Skills and experience
* Minimum 5 years\' experience in governance, legal, or company secretarial roles.
* Proven experience supporting Boards and Committees, including agenda preparation and minute-taking.
* Strong knowledge of the Corporations Act, ASIC/APRA requirements, and governance principles.
* Exceptional organisational skills, able to manage competing priorities.
* High-level written and verbal communication skills with attention to detail.
* Proficiency in Diligent (or similar board portal systems).
* Comfortable working across administrative tasks through to strategic governance advice.
* Background in financial services or mutual banking (desirable).
* Tertiary qualifications in Law, Business, or a related discipline (desirable).
