Treasury and Advisory - Governance Manager

About the Role
As a Governance Manager, you will play a pivotal role in ensuring strong governance across the organisation. Working closely with the EGM Treasury & Advisory, you will manage board and committee meeting cycles, coordinate compliance processes, and oversee key governance frameworks. This role is integral to supporting our mission and maintaining the highest standards of corporate governance.
Key responsibilities
Board & Secretarial
* Plan and manage all aspects of Board, Committee, SteerCo, and AGM meeting cycles.
* Set forward schedules, prepare agendas, collate reports, and publish papers using governance tools.
* Take ownership of post‑meeting processes including minutes, action tracking, and document management.
Policy & Compliance
* Maintain statutory registers and governing documents in collaboration with Legal.
* Review governance frameworks, guidelines, and policies according to compliance cycles.
* Manage policy compliance processes and reporting to the Board and Risk & Compliance Committees.
* Oversee Modern Slavery processes, including reporting and committee secretarial duties.
* Manage annual Ethos & Mission report preparation and publishing.
* Project manage annual and ad‑hoc risk reporting, consolidating inputs from business units.
* Prepare submissions and set agendas for Risk & Compliance Committees across international entities.
Insurance
* Lead annual insurance renewals, coordinating data requests and liaising with insurers and brokers.
* Maintain insurance records and internal tools, attend renewal and claims meetings.
* Prepare reports for the Board and Risk & Compliance Committees and drive internal communications.
What you bring
* 5+ years in governance, corporate administration, or a related field.
* Strong knowledge of board and committee processes.
* Highly organised with exceptional time management and prioritisation skills.
* Excellent communication skills and proficiency in Microsoft Office and SharePoint.
* Ability to influence stakeholders and deliver under pressure.
* Tertiary qualification in a related field preferred; para‑legal or accounting experience desirable.
* Previous experience working with our key stakeholder, the Seventh‑day Adventist Church would be advantageous.
