**About the Role**
We require a Compliance and Company Secretary professional to join us on a contract basis to assist us through a simplification project of our global corporate group. The role sits within the legal team but is truly cross-functional and global and will work closely with the finance and tax teams and our external director and corporate secretary service providers. This role will suit an experienced professional who has the confidence to manage the entity simplification process with limited guidance, problem solve and design processes and systems to set the governance department up for long term success. For the right fit, we are open to someone who wishes to work remotely, via a hybrid model or part time.
**Project Manage Entity Simplification Project**
- Drive the established global entity simplification project to resolution, involving the required internal and external stakeholders as required, to maintain momentum.
- In conjunction with the relevant internal teams, manage relationships with external service providers accountants, lawyers, auditors etc
- Chair internal stakeholder meetings on a weekly basis to provide status updates and seek required inputs.
**Manage relationships with external governance service providers**:
- Key point of contact between the business and its external statutory directors and company secretaries
- Streamline process and information sharing with external service providers.
- Identify and implement cost savings.
**Reimagine the record keeping systems**:
- Design a system for ongoing record keeping with a bias towards utilizing technology to automate and allow ease of access to records - eg incorporation and statutory documents, entity structure charts, filing deadlines.
**Additional governance tasks**:
- Co-ordinate UBO and KYC requests
- Manage, in conjunction with external advisors, the preparation and execution of powers of attorney, board resolutions, regulatory filings and disclosures etc
**About You**:
- Able to dive into a new role and assimilate into the business quickly
- Able to project manage; achieve accurate outcomes on time and drive matters to completion
- Enjoy having autonomy and freedom in your role - able to take responsibility and accountability
- Great problem-solver: able to identify problems before they escalate
- Passion for results: tracks progress and recognises when a change of approach or escalation are required to deliver on time; identifies and suggests ways to improve processes
**Other skills required**:
- Prior experience on a global scale or, at a minimum, working with jurisdictions outside of Australia
- Prior experience with the process to wind down entities
- Some flexibility with after office hours may be required from time to time to coordinate global teams
