PermanentSydney/Melbourne - Full Time - Hybrid - Manager/Senior Manager Provide high-quality advice and support to the firm's peak governance bodies Work directly with the broader Secretariat team and assist with facilitating governance best practices and compliance with governance-related obligations. Flexible work options - work smarter in a way that suits your lifestyle. About the Role Our OGC & Secretariat team is looking for a Manager Secretariat to join our vast community of solvers. The OGC & Secretariat team brings our purpose to life by collaborating with various departments and levels of the organisation, utilising your technical skills and strategic insight to assist our internal stakeholders and contribute to achieving impactful results. You'll help solve complex problems by using your skills in: Governance Strong attention to detail Verbal and written communication Multi-tasking In our OGC & Secretariat team, your impact will be seen by: Serving as the named Company Secretary for various proprietary limited companies. Ensuring compliance with the Corporations Act and regulatory requirements, including the submission of necessary documents to ASIC. Maintaining corporate registers and records, preparing and lodging ASIC forms, managing annual reviews, and handling changes to company details. Coordinating and scheduling board meetings, preparing agendas, board papers, and distributing meeting materials. Attending board meetings and producing accurate minutes and actions. Assisting with internal transactions, including the approval and execution of documents by relevant Group entity boards. Supporting annual projects such as trust distributions and solvency resolutions. Liaising with internal Legal, Tax, Workplaces, and Finance teams as needed. Acting as the primary point of contact for the Group's governance-related matters. Maintaining the Group's structure chart and update as required. More About You You have demonstrated experience in enabling effective governance in a complex environment. You have relevant qualifications in Business, Law, Corporate Governance, or a related discipline, and experience. You have high integrity and discretion when handling confidential information. You have comprehensive knowledge of the Corporations Act and ASIC requirements. You are able to manage multiple stakeholders and competing priorities. You have strong interpersonal skills and enthusiasm to actively engage with individuals across the Firm. You have a detailed understanding of corporate structures and their operation.
