Senior Corporate/Commercial Lawyer
An exciting opportunity has arisen within a reputable Corporate & Commercial team for a highly motivated and experienced Senior Lawyer. About the Role:
The Senior Lawyer will work closely with Principals and the wider legal team to provide strategic legal advice and comprehensive support to a diverse range of clients, from entrepreneurs and SMEs to large national and international corporations. The successful candidate will contribute to delivering innovative legal solutions across a broad spectrum of corporate and commercial matters.
Key Responsibilities:
- Providing expert legal advice on corporate governance, regulatory compliance, and structuring, including drafting and negotiating shareholder agreements, partnership agreements, and joint venture arrangements.
- Leading and managing all aspects of corporate advisory work, including share transactions, business restructuring, and strategic mergers and acquisitions.
- Drafting, reviewing, and negotiating a wide range of commercial contracts such as licensing, distribution, supply, employment, and service agreements.
- Conducting due diligence on commercial transactions, including business sales, acquisitions, and restructures.
- Drafting and reviewing important corporate documentation, including minutes, resolutions, and disclosure statements.
- Supporting clients with compliance advice related to Corporations Law, ASIC, ASX, ATO, APRA, PPSR, and other relevant legislation.
- Assisting clients with navigating privacy laws and drafting or reviewing privacy policies.
- Providing proactive legal support on contractual negotiations and dispute resolution pertaining to commercial agreements.
- Delivering industry-specific legal advice in relation to applicable legislation and regulations affecting clients' operations.
- Collaborating with internal teams and external experts on complex legal issues to deliver practical, business-oriented solutions.
What the Ideal Candidate Will Have:
- A minimum of 7 years’ post-admission experience in corporate and commercial law.
- Strong, practical knowledge of Corporations Law, corporate governance, and pertinent legislation such as ASIC, ASX, ATO, APRA, PPSR, and privacy laws.
- Demonstrated experience with mergers and acquisitions, business sales, restructures, joint ventures, and share transactions.
- Deep technical expertise in drafting, reviewing, and negotiating complex commercial and corporate agreements.
- Familiarity with legal compliance processes for regulated industries.
- Excellent organisational skills and the ability to manage multiple priorities efficiently within deadlines.
- Strong verbal and written communication skills, emphasizing a client-focused approach.
- Ability to work independently as well as collaboratively within a team environment.
