Optus is seeking a Commercial Contracts Manager to join its team in Sydney. The role involves managing, coordinating, and overseeing the contractual pre-signing aspects of customer relationships.
Key Responsibilities
1. Drafting and negotiation of all customer contracts, including standard and bespoke agreements, variation agreements, promotion letters, notices, novation agreements, settlement agreements, and termination agreements.
2. Compliance – Drafting and negotiating contracts to align with applicable Sale Contracts Policy and legal and regulatory frameworks.
3. Legal support – Providing first-level legal support and guidance to the Optus Wholesale Division.
4. Credit and legal risk control – Ensuring commercial contracts minimize exposure to operational, legal, financial, and credit risks.
5. Regulatory engagement – Interface with Optus' regulatory team on key regulatory issues affecting Optus involving strategic, operational, technical, and legal compliance issues.
6. Leadership – Being a trusted advisor and partner to the Optus Wholesale Division, providing legal and commercial guidance to support sound decision-making and risk mitigation.
7. Process improvement – Implementing and continually improving the contract governance process which tracks contracts end-to-end from contract draft request to signing.
Requirements
* Legal drafting experience and a legal academic background, such as a law degree or equivalent qualifications.
* Extensive years of relevant work experience in contract drafting, negotiation, legal risk management, compliance, and governance.
* Prior experience as a lawyer in private practice or as an in-house legal counsel is strongly preferred.
* Ability to draft bespoke legal and commercial terms without precedents.
* Attention to detail, excellent communication and problem-solving skills.
* Ability to meet deadlines with minimal supervision or assistance.
* Commercial foundations and business acumen.
* Understanding of telecommunications operations and/or a wholesale environment is desirable.
