Assistant Company Secretary – Financial Services (APRA Regulated)
An exciting opportunity exists for an experienced governance professional to step into an Assistant Company Secretary role within a member-focused financial services organisation at a pivotal stage of its growth. This is a high-profile position working closely with the Chief Legal Officer and Company Secretary, providing end-to-end governance and company secretarial support across Board and Committee functions.
This role suits a governance professional with solid technical expertise, confidence advising senior stakeholders, and the ability to balance strategic input with hands-on delivery. Integrity, attention to detail, and trusted relationships are central to your approach. In return, you’ll gain exposure to Directors, Executives, regulators, and key stakeholders, while shaping governance practices in a regulated, member-owned financial institution with a values-driven, socially responsible culture.
Key Responsibilities:
- Deliver end-to-end Board and Committee governance including agendas, papers, minutes, and secure distribution.
- Serve as Secretary to regulated entities, ensuring compliance with the Corporations Act, ASIC and APRA obligations.
- Act as a trusted governance contact for Directors, Executives, regulators, and other key stakeholders.
- Manage statutory filings and regulatory lodgements, including FAR reporting.
- Oversee Annual General Meeting and Director election processes.
- Provide advice on governance matters, regulatory changes, and best practice.
- Lead policy governance, records management, and governance risk monitoring.
- Drive governance projects and continuous improvement initiatives.
Skills and Experience:
- Minimum 5 years’ experience in governance, legal, or company secretarial roles.
- Proven track record supporting Boards and Committees, including agenda preparation and minute-taking.
- Sound knowledge of the Corporations Act, ASIC and APRA requirements, and governance principles.
- Exceptional organisational skills and ability to manage competing priorities.
- Strong written and verbal communication skills.
- Proficiency in Diligent or similar board portal systems.
- Experience in financial services or mutual banking (highly regarded).
- Tertiary qualifications in Law, Business or related discipline (desirable).
