Pembroke School is seeking an experienced and highly capable Board Secretary to support the strength, integrity and continuous improvement of our governance framework.
Working closely with the Principal, Board Chair and Committee Chairs, this is a pivotal role at the centre of decision-making and strategic stewardship. As Secretary to the School Board and Public Officer, you will ensure governance processes are rigorous, well-documented and aligned with the School's constitutional and regulatory obligations.

Pembroke School is a co-educational, non-denominational, day and boarding School from Early Learning Centre to Year 12. Renowned for academic excellence and a broad, inclusive program, Pembroke offers the South Australian Certificate of Education (SACE) and is also an International Baccalaureate World School, offering the IB Diploma Programme (IBDP) and Primary Years Programme (PYP).
Pembroke is a vibrant and exciting School catering for a diverse community of students. With over 1,700 students, the School offers a broad-ranging curriculum and an outstanding choice of co-curricular opportunities. The School employs over 300 permanent and fixed-term staff, plus more than 150 casual employees.
Pembroke School Inc. is incorporated under the Association Incorporations Act SA and is a Registered Charity with the Australian Charities and Not-for-profits Commission (ACNC). The School operates four ATO DGR Item 1 funds and is a Trustee for a Public Ancillary Fund (DGR Item 2) and two other Trust Funds, which are also Registered Charities.

About the Role
In this senior governance position, you will enable the Board to focus on strategy, risk and stewardship, ensuring clarity, compliance and strong governance practice.
Key Responsibilities Include:
Acting as Secretary to the School Board, AGM and Committees
Coordinating Board and Committee cycles, agendas, papers and minutes
Maintaining governance registers, policies and constitutional documents
Advising the Principal and Board Chair on governance and compliance matters
Overseeing statutory reporting and Public Officer obligations
Leading and supporting the Governance Support Officer
This role requires discretion, sound judgement and flexibility to attend meetings outside standard working hours.
About You
You are a governance professional who thrives in environments where precision, integrity and strategic thinking matter. You bring confidence in advising senior leaders and Board members, while maintaining appropriate independence and discretion.
You will bring:
Relevant qualifications in Governance, Law, Business or related fields
Proven experience supporting Boards and Committees in complex settings
Strong knowledge of governance frameworks and regulatory compliance
Exceptional minute-taking, documentation and records management skills
Advanced organisational capability and digital proficiency
The ability to build trust while managing sensitive and confidential matters
Required for Employment
Current Working with Children Check (South Australia)
Current Plink RRHAN-EC training: Masterclass and Fundamentals (including Protective Practices)
