One of these opportunities
sits within a leading corporate team advising on a consistent pipeline of private equity, investment and mid-market M&A transactions.
The team acts for private equity funds, institutional investors and high-growth private businesses, and is known for its steady deal flow and commercially focused approach.
The group is partner-led and relatively lean, with strong client relationships and repeat work across a number of active investors and corporate clients.
The role Working closely with experienced partners and senior lawyers, you will be involved across the full lifecycle of transactions, with a strong focus on investment and deal execution.
A typical week is likely to include:
assisting on acquisitions and divestments for private equity and corporate clients
drafting and negotiating transaction documents, including share sale agreements, subscription agreements and shareholder agreements
advising on structuring, risk allocation and key commercial terms
working closely with investors, founders and management teams
liaising with accountants, advisers and financiers
supporting transactions through to signing and completion
You will have exposure to multiple live transactions at any one time, with increasing responsibility and client contact as your experience develops.
Representative examples of work have included:
acting for private equity investors on platform and bolt-on acquisitions
advising founders on partial and full exits to investment groups
supporting capital raises and investment structuring for growth businesses
advising on shareholder arrangements and governance frameworks
assisting with portfolio company acquisitions and integration activities
About you You will likely have around 3–7+ years’ PAE with experience in corporate/M&A, private equity or transactional commercial work.
Candidates with strong commercial experience and exposure to transactions will also be happily considered.
You will also bring:
strong drafting and technical skills
an interest in deal-making and investment activity
the ability to manage multiple transactions and deadlines
confidence working with clients and external advisers
a commercially focused and pragmatic approach
