Assistant Company Secretary

The Assistant Company Secretary will work closely with the Head of Corporate Governance to provide comprehensive legal and governance support to the Boards and Committees of Virgin Australia Group. This role will leverage legal expertise to review and enhance governance frameworks, draft and revise board materials, provide legal guidance on corporate matters, and ensure regulatory compliance.
Duties and Responsibilities
* Review and enhance governance frameworks for Virgin Australia Group
* Draft and revise board materials as required
* Provide legal guidance on corporate matters
* Ensure regulatory compliance
* Coordinate and deliver the Annual General Meeting (AGM) for our ASX listed entity
* Manage board logistics and serve as a key point of contact for the corporate governance team's stakeholders
Requirements
* A legal qualification and 4-6 years' experience in corporate law, with specific exposure to corporate governance (experience in aviation or ASX-listed companies is advantageous)
* Previous experience in managing or supporting the delivery of Annual General Meetings for ASX listed entities
* Strong knowledge of Corporations Act, ASX Listing Rules (if applicable), and current governance best practices
* Practical legal advice on governance matters in a business-focused manner
* Exceptional attention to detail and ability to draft clear, concise documents
* Ability to interpret complex legal and regulatory requirements and translate them into actionable governance frameworks
* Adept at managing multiple priorities in a fast-paced environment
* Strong stakeholder management skills and able to build effective relationships with board members and executives
* Maintain absolute confidentiality and exercise sound judgment with sensitive information
* A collaborative team player who can work effectively with the Corporate Governance Specialist and other colleagues
