About the Opportunity
We are seeking an experienced Company Secretary to provide advice and support to the Board of Directors in fulfilling their fiduciary duties. The Company Secretary plays a key advisory role enabling the effective governance and compliance of Lutheran Homes Group (LHG).
Working closely with the LHG Executive and reporting to the Chair of Board, the Company Secretary provides expert governance advice, facilitates board and committee operations, and monitors compliance with whole of organisation regulatory and legislative requirements. This role acts as the primary liaison between the Board, its committees, and executive management, ensuring that governance best practices are embedded within the organisation.
Key accountabilities include:
Board and Committee Support
o Serve as the principal advisor to the Board and its Committees on governance, compliance, and regulatory matters.
o Work in collaboration with the Office of the CEO to oversee the preparation and distribution of board and committee agendas, papers, and minutes, ensuring accuracy and timeliness.
o Coordinate board and committee meetings, ensuring proper documentation, attendance tracking, and follow-up on action items.
o Facilitate board inductions in collaboration with the Board Chair and CEO.
o Maintain up-to-date records of board and committee memberships, terms, and appointments.
o Support the Board Chair and Committee Chairs in fulfilling their responsibilities.
Governance and Compliance
o Ensure the Board adheres to all relevant corporate governance frameworks, regulatory requirements, and internal policies.
o Maintain the organisation’s Constitution, Board Charter, and terms of reference for committees.
o Oversee the lodgement of statutory filings and corporate documents with relevant regulatory bodies (e.g., ACNC, ASIC).
o Monitor legislative changes that relate to Board and provide timely advice to the Board and executives on potential governance and compliance impacts, in consultation with LHG Quality and Compliance personnel.
o Ensure compliance with relevant governance frameworks, including the Aged Care Quality Standards, Not-for-Profit governance guidelines, and risk management requirements.
Stakeholder and Communication Management
o Act as the key liaison between the Board and LHG Executive.
o Facilitate communication between the Board, its committees, and senior leadership to ensure effective governance processes.
o Support the annual general meeting (AGM) and any extraordinary general meetings, including member communications and regulatory filings.
o Coordinate periodic Board evaluations and reviews of committee terms of reference.
Risk and Assurance
o Work closely with the LHG Executive Team and the General Manager, Risk and Compliance to embed a strong governance culture across LHG.
o Assist in the development and monitoring of risk management frameworks and reporting mechanisms to the Board.
o Ensure effective management of conflicts of interest and related party transactions.
o Maintain the integrity of corporate records, including registers of members, directors, and other key compliance documents.
About You
You will possess:
o Tertiary qualifications in Law, Business, Governance, or a related field is required.
o Membership (or eligibility for membership) with the Governance Institute of Australia or the Australian Institute of Company Directors (AICD) is highly desirable.
o Exceptional written and verbal communication skills with the ability to engage effectively with senior leaders and board members.
o High-level organisational and time management skills, with the ability to manage multiple priorities under strict deadlines.
o Strong attention to detail and ability to maintain confidentiality in sensitive matters.
o Proven ability to interpret and apply governance and regulatory frameworks within a complex organisational setting.
o Strong problem-solving and analytical skills to identify governance risks and recommend appropriate solutions.
o Extensive experience in a Company Secretary, Governance, or Compliance role within a not-for-profit, aged care, or similar regulated sector.
o Strong knowledge of corporate governance principles, regulatory requirements, and best practices
