Denning provides mid‑market real estate finance, specialising in private credit solutions that deliver flexibility and speed of execution.
About the Opportunity
As Legal Counsel, you will play a central role in supporting Denning's private credit business, contributing to our property financing and investment activities. You will work closely with the General Counsel, with a dotted line to the Co‑Founders and Managing Directors.
Responsibilities
* Transaction Execution: Provide legal support on private credit transactions, including reviewing and negotiating term sheets, loan agreements, security documents, and ancillary financing contracts.
* Structuring and Advice: Advise on structuring, execution, and risk allocation in financing arrangements, ensuring practical and commercial outcomes.
* Documentation: Draft and negotiate confidentiality agreements, mandates, fee letters, agency and security trustee appointments, and other supporting legal documents.
* Funds and Compliance: Assist with capital raising, funds management, compliance, and regulatory matters where required.
* External Counsel Management: Manage external law firms efficiently to ensure high‑quality, cost‑effective, and timely advice.
* Collaboration: Work closely with the investment team, analysts, and senior management to support strategic decision-making.
* Firm Contribution: Contribute broadly across the firm, with flexibility to step into new areas as needed.
Key Attributes
* Experience: 3–5 years PQE, with training at a reputable Australian law firm. Strong experience in banking and finance, ideally with a real‑estate financing focus, including construction. Exposure to funds, compliance, or private markets is valued but not essential.
* Technical Skills: Excellent drafting, negotiation, and organisational skills with the ability to manage competing priorities.
* Commercial Judgment: Demonstrates strong commercial acumen and pragmatic decision‑making.
* Communication: Strong interpersonal and communication skills, able to engage with internal stakeholders and external parties.
* Adaptability: Keen eye for detail, adaptable, and thrives in a hands‑on role within a dynamic team.
Location
This role is based in our Sydney office.
