Head of Legal and Company Secretary
Location: Brisbane. This executive role will lead enterprise-wide legal, compliance, and governance functions, providing strategic counsel to the Board and Executive Team within a complex, multi-stakeholder and highly regulated environment.
Key Responsibilities
* Provide strategic legal advice across corporate, commercial, governance and construction matters.
* Draft, review, and negotiate contracts, including procurement, consultancy, IT, and leasing agreements.
* Identify and manage legal and regulatory risks while ensuring compliance with applicable laws, approvals, and project documentation.
* Oversee external legal advisers, manage legal budgets, and support dispute resolution and litigation matters.
* Act as Company Secretary, ensuring effective board and committee governance, statutory compliance, and alignment with corporate frameworks.
* Maintain governance frameworks, delegated authorities, audit policies, and codes of conduct.
* Lead, mentor, and develop a high-performing legal team.
* Build strong relationships with internal stakeholders, regulators, advisers, and consortium partners.
* Provide timely and high-quality reporting and advice to the Board, committees, and executive leadership.
About You
You are an accomplished and commercially astute legal professional with a strong track record in corporate governance, regulatory compliance, and strategic legal leadership. You are comfortable providing counsel at executive and board levels and thrive in complex, project-driven environments where legal insight informs commercial outcomes.
Essential Qualifications & Experience
* Bachelor of Laws (LLB) and admission to practice in Australia with a current practising certificate.
* 8–12 years’ post-qualification experience, ideally within infrastructure, construction, or regulated industries.
* Proven experience in corporate governance, contract negotiation, and regulatory compliance.
* Demonstrated ability to manage legal risk and oversee litigation matters.
* Familiarity with ASIC and ASX requirements is highly regarded.
