Deputy Company Secretary – Corporate Governance Leader
Opportunity to join one of Australia’s leaders in corporate governance in this pivotal Deputy Company Secretary role. Working closely with the Chief Financial Officer and Company Secretary, you will play a key part in supporting the Board and Committees, overseeing governance processes, and leading a small team to ensure the smooth and effective operation of corporate governance across the organisation.
Key Responsibilities
- Prepare draft Board and Committee agendas and review papers to ensure completeness and quality.
- Collate and distribute Board and Committee packs via the Diligent electronic portal.
- Draft minutes and maintain accurate records of meetings.
- Ensure compliance with the organisation’s Constitution, By‑Laws, Charters and best‑practice governance principles.
- Oversee governance and reporting requirements to ASIC, ACNC and other regulatory bodies.
- Align Secretariat compliance with the broader risk, compliance and business continuity frameworks.
- Develop and update Secretariat policies and participate in risk assessment and management activities.
- Coordinate the Annual General Meeting and annual Division Council elections.
About You
- Considerable experience in a Company Secretarial or Deputy Company Secretary role within a complex organisation, ideally across the NFP, membership, or similar sectors.
- Graduate Diploma of Applied Corporate Governance.
- Strong knowledge of the Corporations Act, ASIC and ACNC requirements, and contemporary governance practices.
- Excellent written and verbal communication skills, with the ability to draft transparent and concise governance documentation.
- Proven organisational and project management skills, with the ability to manage competing deadlines.
- Proficiency in Diligent Boards, BoardEffect and Microsoft Office applications.
