Reporting directly to the Chief Legal Officer, the Senior Legal Counsel will act as a trusted adviser to senior executives across the business. The role will provide strategic legal support on a broad range of corporate and commercial matters, with a strong focus on corporate commercial M&A, governance, regulatory compliance and cross-functional advisory work.
As the organisation continues to expand and undergo significant transformation, this position will play a pivotal role in shaping legal frameworks, guiding strategic decision-making and supporting major corporate initiatives.
Key Responsibilities
As Senior Legal Counsel, you will:
* Serve as a corporate legal business partner to key functions, including Finance, Strategy and Tax.
* Play a central role in cross-functional deal teams on strategic corporate M&A projects.
* Identify legal risks across corporate proposals and work collaboratively with stakeholders to develop compliant, commercially effective solutions.
* Advise on the interpretation of contractual commitments and statutory obligations, including those arising under corporate, competition, consumer and privacy regimes.
* Support company secretarial matters across Australian and New Zealand entities, including preparation of resolutions, filings and ongoing governance documentation.
* Partner with global stakeholders on corporate governance initiatives, including reporting obligations and group-wide policy implementation.
* Provide additional support on general commercial matters when required, including commercial contract negotiation, dispute management, IP protection and licensing agreements.
* Act as a strong representative of the Legal function across the wider business.
Experience
* Solid foundation gained at a reputable law firm, primarily within Corporate/M&A (non-public M&A experience strongly preferred).
* Additional general commercial experience, particularly in contract advisory work, is advantageous.
* Prior in-house experience (either permanent or via secondment) is beneficial but not essential.
* Exposure to data, technology or digital-first businesses will be highly regarded.
Technical Skills
You will demonstrate the ability to:
* Provide high-quality legal advice across M&A, governance, regulatory and commercial matters.
* Draft and negotiate key M&A and governance documentation with minimal supervision, including shareholders' agreements, share purchase agreements, subscription agreements, transfer forms, board resolutions and related documents.
* Assess legal risk and propose practical, commercially aligned solutions.
* Communicate complex legal concepts clearly to non-legal stakeholders and manage diverse internal relationships.
* Maintain exceptional attention to detail and a strong commitment to resolving complex issues thoroughly.
