The Opportunity
Are you a commercial leader with deep experience in major infrastructure transactions, project finance, and complex negotiations?
We are seeking an Infrastructure Transaction Manager (Tolling & Commercial) to join a high-profile NSW Government agency. In this critical Grade 9 role, you will lead a specialized "Direct Deal Team" responsible for delivering significant commercial reforms. You will operate at the forefront of high-stakes negotiations with major toll road concessionaires, driving outcomes that balance commercial viability with public interest.
About the Role
Reporting to the Executive Manager, you will lead the development, delivery, and evaluation of complex reform initiatives as outlined in the project and policy development plan. This role requires a strategic thinker capable of managing a high-performing team while providing tactical commercial, financial, and policy advice to senior decision-makers.
Key Accountabilities:
* Commercial Leadership & Negotiation: Lead the commercial aspects of reform implementation, including conducting direct negotiations with toll road concessionaires and industry partners to achieve defined outcomes.
* Strategic Advisory: Provide expert, timely advice and recommendations to Executive leadership to underpin strategic project development, evaluation, and implementation activities.
* Transaction Management: oversee the development of complex commercial terms and documentation essential for the planning, procurement, and delivery of major projects.
* Team Leadership: Manage and inspire a high-performing, agile team, fostering a culture of professional development and business partnering while balancing complex needs and priorities.
* Advisor Management: Lead the engagement with external advisors across finance, legal, accounting, and tax disciplines to ensure the successful implementation of initiatives.
* Risk & Governance: Oversee the continuous identification and management of project risks, ensuring all activities meet high standards of probity, public scrutiny, and legislative compliance.
* Stakeholder Engagement: Build and maintain trusted relationships with internal and external stakeholders, facilitating the exchange of market intelligence and ensuring expert commercial advice is sought and utilized.
About You
To succeed in this role, you must have extensive experience in infrastructure, project finance, or major commercial transactions within the public or private sector. You are a skilled negotiator who can respond flexibly to changing environments, manage limited resources against tight deadlines, and navigate complex project interdependencies.
Essential Requirements:
* Transaction Experience: Proven track record in structuring, negotiating, and executing infrastructure transactions, with a lead role in transaction management and financial/legal due diligence.
* Industry Expertise: Deep understanding of contracting models, risk allocation, project finance, and the commercial aspects of infrastructure delivery, including claims management.

* Influence & Negotiation: expert negotiation skills to gain consensus, resolve conflicts, and lead productive discussions with diverse stakeholders.

Qualifications:
Tertiary or postgraduate qualifications in construction management, engineering, commerce, finance, accounting, law, or a related discipline are preferred.
