ING, Australia's most recommended Bank for the 3rd year running is on the hunt for an experienced **Company Secretary **and governance professional.
We're looking for someone with high attention to detail, who is well organised & structured to step in and support our Board and its Committees and the Executive Committee in all company secretarial and governance matters.

You will work closely as part of the Legal & Company Secretarial Team and manage another team member in providing strong governance expertise..
**About You**
**What are you going to do? You will be**
- Undertaking the company secretarial activities required for ING Australia to meet its statutory responsibilities and supporting the Board in meeting their obligations as directors, leading Board renewal, induction and performance processes
- Managing the corporate documentation framework (including policy management) and supporting the business in ensuring timely review of corporate documentation
- Overseeing the authorities to execute documents for the Australian entities including communication and awareness, granting and revoking proxies and annual compliance activities
- Working closely with our Finance Team and External Auditors in the preparation of the annual Directors' Report and Corporate Governance Statement
- Translating difficult concepts into simple language and balancing the interests of the ING Australian entities' governing committees and their members
- Delivering against information requests for company secretarial records from the External Auditors and Regulators
- Participating in special projects or high level working groups on request
**What are we looking for? Someone who has**
- Extensive experience in the role of Company Secretary at a large Australian financial institution
- People leadership experience
- Demonstrated experience developing, implementing and monitoring a range of policies, procedures and governance frameworks and structures
- Ability to assume a high level of responsibility with superior written and verbal communication and drafting skills with a high degree of energy
- High level of confidentiality, discretion and judgment, excellent influencing and interpersonal skills with effective time management skills
- Professional conduct and demeanour with the ability to perform under pressure
