Job Description



We are seeking a highly motivated and detail-oriented Assistant Company Secretary to join our governance team supporting a listed Australian company and its subsidiaries. This role offers the opportunity to contribute to the effective operation of the Board and its Committees, ensure compliance with corporate governance standards, and support the broader legal and regulatory obligations of the group. The ideal candidate will bring a strong understanding of corporate secretarial practices, excellent communication skills, and a proactive approach to governance excellence.

Your Impact

The Assistant Company Secretary supports the Company Secretary in delivering high-quality governance and secretariat services to the Board, Board Committees, and subsidiaries. This role ensures compliance with corporate regulations, supports board operations, and contributes to the development and implementation of governance frameworks across the group.

Board & Committee Support

* Assist in the preparation and management of Board and Committee meeting agendas, papers, and minutes.
* Assist in the preparation and lodgement of ASX forms and announcements.
* Assist in the preparation and delivery of the Annual General Meeting.

Subsidiary Governance

* Act as secretary of subsidiaries; manage governance and compliance obligations and director training for Australian and international subsidiaries.
* Prepare circular resolutions, member resolutions, and maintain statutory registers.
* Ensure compliance with ASIC and other regulatory bodies.
* Support corporate simplification initiatives, including subsidiary closures.

Corporate Governance / Compliance

* Contribute to the design and implementation of governance frameworks, policies, and procedures.
* Advise on governance best practices and regulatory changes.
* Maintain corporate records and internal registers.
* Assist in the delivery of the Annual Reporting suite (Annual Report, Corporate Governance Statement)
* Assist in the administration of employee share plans and share register, dividends and other corporate actions.


Qualifications

* Tertiary qualification in Law
* Demonstrated experience in a listed company environment or in a corporate advisory capacity.
* Sound understanding of ASX and ASIC compliance frameworks, with a focus on corporate governance and legal obligations.
* Strong organisational, communication, and stakeholder engagement skills
