Key Responsibilities:
* Ensure strict adherence to relevant laws and regulations, including Companies Act 2016, Bursa Malaysia's Listing Requirements (LR), and other applicable legislation.
* Lead the planning, preparation, and execution of board meetings, committee meetings, and ad hoc meetings, ensuring timely circulation of minutes and post-meeting announcements.
* Maintain statutory registers, minute books, and ensure compliance with audit and annual reporting timelines, reviewing resolutions, statutory returns, and filings prepared by executives.
* Plan and execute Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), including logistics, stakeholder communication, documentation, and regulatory announcements, liaising closely with company registrar and internal business units.
* Provide expert advice on governance, regulatory, and compliance-related matters, guiding internal stakeholders and clients on interpretation and application of relevant legislation.
* Draft, vet, and finalize key governance documents, including board charters, terms of reference, remuneration policies, constitutions, and disclosures related to directors' interests and beneficial ownership.
* Act as a company secretary or joint company secretary for subsidiaries and/or affiliated entities, supervising and developing a team of corporate secretarial professionals.
* Assist in advising the Board on governance best practices, legal and regulatory updates, and board procedure enhancements, supporting director onboarding, continuous training, and board evaluation processes.
Required Skills and Qualifications:
* Member of a recognized professional body and holder of a valid company secretary license.
* 7-9 years of relevant experience in a public listed entity.
* Legal qualification is an added advantage.
* Strong knowledge of Companies Act 2016, Bursa Malaysia Listing Requirements, and Malaysian Code on Corporate Governance.
* Demonstrated ability in drafting and reviewing complex corporate documents with high accuracy.
* Proficient in Microsoft Office suite and document management systems.
* High level of integrity, confidentiality, and professionalism.
* Strong written and verbal communication skills in both English and local languages.
* Excellent interpersonal skills with the ability to influence and engage stakeholders at all levels.
* Strong leadership capabilities with a track record in managing teams and driving performance.
