Due to the continuing growth of our business and our client base achieving a critical mass, we are searching for an ambitious Assistant Company Secretary in the Melbourne office to join our growing Compliance Team full‐time.
This role would suit an individual confident in their ability, looking for an intellectually challenging role, and ready to step up or sideways into a dynamic, fast‐growing business.
Key duties & responsibilities
This is a client facing role with significant variety. The role will include:
* Managing a portfolio of clients;
* Assisting with the day‐to‐day activities of the Company Secretarial function and governance matters of the client portfolio;
* Registration of Registered Foreign Companies with ASIC;
* Creation and maintenance of hard and soft copy Corporate Registers at the Registered Office and on the fileserver;
* Drafting and filing of forms with ASIC, ATO, TGA, and other relevant regulatory bodies;
* Management of the Monday and CAS BGL database and registers;
* Drafting of directors' and members' circulating resolutions;
* Organise and attend board meetings (where required);
* Drafting of meeting minutes;
* Drafting of regular reports to client company directors;
* Management and maintenance of business names for all clients;
* Preparation of share transactions and director changes including resignations and appointments;
* Coordination of legal document execution;
* Scanning (where required) and forwarding of correspondence to client;
* Assistance with documentation to open business bank accounts;
* Ensuring and (where appropriate) organise D&O Insurance;
* Filing for audit relief where applicable, following with an annual review of the requirements;
* Liaising with shareholders, professionals including senior executives, directors and legal providers on secretarial matters and corporate transactions;
* Handling client enquiries regarding compliance and best practice corporate governance;
* Handling of ASIC enquiries and liaison with ASIC officers as required;
* Working with the resident directors to ensure good governance;
* Conducting all company, title and registered charges searches and download extracts from ASIC; and
* Other ad‐hoc duties for clients and Acclime as required.
What are we looking for?
* A high level of attention to detail and a diligent nature.
* Strong background in Compliance with at least 3 years' experience in a similar role.
* Demonstrated leadership with strong communication skills.
* Strong organisational skills with the ability to manage competing priorities, plan workload effectively and approach work with an analytical and solutions‐focused mindset.
* Professional qualification – member of the Governance Institute of Australia / or willing to become a member (preferable).
* Experienced with cloud‐based software and proficient in MS Word, MS Excel, and CAS360.
