About the role
Our client is seeking a highly skilled Company Secretary to play a vital and proactive governance leadership role. Reporting to the Board and CEO, this position ensures best practice governance, supports disciplined board operations and acts as the primary liaison between directors and the executive.
This role is central to upholding governance frameworks, regulatory obligations and risk management practices while enabling transparent, well-informed board decision-making.
Key responsibilities
* Act as an officer of the company, listed on ASIC and ACNC registers.
* Provide governance advice to directors and executives on best practice and emerging issues.
* Prepare agendas, board and committee papers, minutes and action lists in line with compliance standards.
* Maintain governance registers, governance calendar, policy reviews and board evaluations.
* Support director onboarding, induction and professional development.
* Manage ASIC/ACNC filings, corporate records, governance policies and compliance obligations.
* Coordinate annual reporting requirements and oversee board-level risk reporting.
* Oversee the trustee company's policy and procedure framework.
* Support the Chair and CEO with strategic governance advice.
* Manage complaints and disputes in line with policy.
About you
* Relevant tertiary qualification in law, governance, business or a related field.
* Demonstrated experience as a Company Secretary or senior governance professional.
* Strong understanding of ACNC and Corporations Act compliance obligations.
* Experience working with governance, risk and compliance frameworks.
* Knowledge of trustee company governance highly regarded.
* Excellent organisation skills, with experience using board governance software (e.g. Diligent).
* Strong interpersonal and written communication skills, with high attention to detail.
* Governance Institute of Australia (GIA), AICD or equivalent qualifications desirable.
* Experience in a not-for-profit, charity or public company environment.
* Commitment to ethical, culturally safe governance practices.
