About the role

Bio101 is seeking an Assistant Company Secretary to join our growing team, based in Camberwell. You'll provide governance and company secretarial support to a range of clients — including listed and unlisted companies, start-ups, and NFPs. Flexibility and a hybrid work model help support work-life balance.

Working alongside experienced governance and finance professionals, you'll contribute to a range of governance and secretarial tasks, including:

· Board and committee meeting preparation and support

· Drafting board papers and taking accurate minutes

· Maintaining registers and compliance records

· ASIC and ASX compliance tasks

· Client and stakeholder communications

Remuneration will be based on the qualifications and experience of the successful candidate.

Ideal background

Qualifications:

· A law / business / finance degree, or degree in a relevant field

· Governance qualification such as the Certificate in Foundations of Secretarial Practice (or other relevant Governance Institute of Australia certificate)

· Graduate Diploma of Applied Corporate Governance and Risk Management from the Governance Institute of Australia, or progress towards the qualification

· Current membership of the Governance Institute of Australia

Key experience:

· Two years of professional experience in company secretary or governance assistance role, or exposure to

the roles and duties of a company secretary

· Knowledge of the Corporations Act 2001 (Cth)

· Experience with ASIC requirements

· Knowledge of the ASX Listing Rules

· Outstanding attention to detail and commitment to accuracy

· Effective board meeting minute taking skills

· Excellent written and verbal communication skills, inc. board paper writing

· Proficient knowledge of key IT systems such as Adobe and Microsoft Office (in particular Excel and Word)

· Excellent prioritisation, organisation skills, and proven ability to deliver on deadlines

· The ability to work both independently and as part of a small/medium team

Beneficial experience:

· Experience in a company secretarial role within an ASX listed company

· Experience with company secretary web apps such as Cake Equity, Registry Direct, BoardPro and Diligent

· Experience providing professional customer service to a client base
